SutraSuite Terms of Service
Effective Date: 9/20/2026
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and AH Global Enterprises, doing business as SutraSuite (“SutraSuite,” “Company,” “we,” “our,” or “us”).
These Terms govern your access to and use of the SutraSuite website, platform, software, applications, artificial intelligence features, subscription services, custom services, and related products and services (collectively, the “Services”).
By creating an account, purchasing a subscription, accepting an applicable proposal or order, or otherwise accessing or using the Services, you agree to these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
You may use SutraSuite only in compliance with these Terms and applicable laws and regulations.
2. SutraSuite Services
SutraSuite provides business technology and related services designed primarily for yoga teachers, wellness professionals, studios, and related businesses.
Depending upon your plan, configuration, and services purchased, SutraSuite may provide or facilitate features including:
- websites and digital experiences;
- appointment, class, and booking tools;
- customer and student management;
- membership and product management;
- payment integrations;
- email and SMS communications;
- marketing and automation tools;
- sales funnels and lead capture;
- social media and reputation tools;
- community and member experiences;
- artificial intelligence and automated features;
- Infinite Flows and class-planning tools;
- business, branding, and marketing resources;
- third-party integrations; and
- customized systems and services through SutraSuite Studio.
Not every feature is included in every plan.
The features and services available to you are determined by your subscription, account configuration, and, where applicable, an order form, proposal, statement of work, or other written agreement with SutraSuite.
3. Plans, Features and Changes to the Services
SutraSuite offers standard subscription plans and may offer customized services through SutraSuite Studio.
We continuously develop and improve the Services. Features may therefore be added, modified, replaced, limited, or discontinued.
Some functionality depends upon third-party software, APIs, hosting providers, payment processors, telecommunications providers, artificial intelligence providers, or other technology outside SutraSuite’s control.
A feature or integration may consequently need to be changed, replaced, or discontinued because of changes made by a third-party provider or because of technical, security, legal, operational, or business requirements.
Where commercially reasonable, SutraSuite may attempt to provide alternative functionality, but we do not guarantee that every feature, integration, or third-party service will remain available indefinitely.
4. SutraSuite Studio and Custom Services
SutraSuite Studio provides customized services and systems for studios, teams, and established wellness businesses.
Studio pricing begins at the advertised starting price. The starting price does not mean that every available Studio feature, integration, customization, development service, or implementation service is included at that price.
The specific scope of a Studio engagement may be established through a proposal, order form, statement of work, invoice, implementation agreement, or other written documentation provided by SutraSuite.
Studio services may include configuration or customization of websites, customer-management systems, member portals, communities, workflows, automations, staff-management systems, integrations, communications systems, and other agreed functionality.
Features described on the SutraSuite website as services that Studio “can include,” or similar language, are examples of available capabilities and are not automatically included in every Studio subscription.
Requests outside the agreed scope may require additional fees, development work, or a separate agreement.
Implementation dates and project timelines are estimates unless SutraSuite expressly guarantees a deadline in writing.
Delays in providing requested content, data, credentials, approvals, access, decisions, or other information may affect implementation timelines.
Studio Ownership and Customization
SutraSuite Studio may include configuration, customization, integrations, workflows, websites, portals, automations, and other functionality designed around a customer’s business.
Unless expressly stated otherwise in a separate written agreement, Studio services are provided as part of the customer’s subscription and do not constitute work-for-hire or transfer ownership of the SutraSuite platform, source code, software, systems, architecture, custom configurations, templates, workflows, methodologies, or other technology used to provide the Services.
Payment of Studio subscription, setup, implementation, or customization fees provides access to the applicable Services and does not constitute the purchase of the underlying SutraSuite technology.
Customers retain ownership of their business data, branding, original content, customer information, and other materials they provide.
If SutraSuite separately agrees to develop software or other deliverables that a customer will own, the scope, price, ownership rights, source-code rights, delivery requirements, and transfer terms must be expressly established in a separate written agreement.
5. Accounts and Account Security
You are responsible for maintaining accurate account information and safeguarding your login credentials.
You are responsible for activity occurring through your account and for individuals to whom you provide authorized access.
You must promptly notify SutraSuite if you believe your account or credentials have been compromised or accessed without authorization.
You may not sell, sublicense, transfer, share, or provide unauthorized access to your SutraSuite account.
Team access, staff seats, AI usage, storage, and other resources may be subject to limits associated with your plan.
6. Subscriptions and Automatic Renewal
Paid SutraSuite subscriptions are recurring subscriptions unless expressly stated otherwise.
By purchasing a subscription, you authorize SutraSuite and its payment providers to charge your selected payment method according to your chosen billing cycle.
Monthly subscriptions renew monthly.
Annual subscriptions renew annually.
Your subscription will continue to renew until you cancel it.
The applicable price, billing frequency, renewal terms, and any promotional or trial conditions will be disclosed at or before purchase.
SutraSuite may change subscription pricing prospectively upon appropriate notice. Pricing changes will apply to future billing periods and will not retroactively alter amounts already paid.
7. Trials, Promotions, Coupons and Discounts
SutraSuite may offer free trials, coupons, promotional pricing, discounts, complimentary accounts, or other special offers.
Additional conditions may apply to a particular promotion.
Unless otherwise stated, promotional offers may be modified or discontinued prospectively.
If a trial or promotional period converts into a paid recurring subscription, the applicable pricing, timing, renewal terms, and cancellation requirements will be disclosed as required.
Promotional pricing does not guarantee the same price for future subscription periods unless expressly stated.
8. Cancellation
You may cancel your subscription at any time through your SutraSuite account.
Cancellation prevents future subscription renewal charges.
Unless otherwise stated, you will continue to have access to your paid subscription through the end of the current paid billing period.
Cancellation does not retroactively refund amounts already charged.
Studio or other custom services may have additional cancellation or termination provisions contained in the applicable proposal, order form, or statement of work.
Cancellation of SutraSuite does not automatically cancel services that you independently purchased from third-party providers.
9. Refund Policy
Except where required by applicable law or expressly agreed by SutraSuite in writing:
- subscription payments are non-refundable;
- unused subscription time is not refundable;
- partial subscription periods are not prorated;
- setup, implementation, migration, and customization fees are non-refundable once the applicable work has begun; and
- third-party charges incurred in connection with your account may be non-refundable.
SutraSuite may provide a refund or account credit at its discretion.
Providing a refund or credit in one situation does not create an obligation to do so in another.
10. Payments, Processing Fees, Taxes and Chargebacks
SutraSuite may integrate with independent payment processors to enable transactions.
Payment-processing services may be subject to the processor’s separate terms, fees, underwriting requirements, privacy practices, reserves, holds, chargeback procedures, and other policies.
Unless expressly stated otherwise, SutraSuite does not directly store complete payment-card information.
You are responsible for applicable payment-processing fees, customer refunds, chargebacks, taxes, assessments, and other charges associated with operating your business.
You are responsible for determining and satisfying your own tax obligations.
SutraSuite is not responsible for payment holds, rejected transactions, delayed settlements, processor account restrictions, chargebacks, or other actions taken by an independent payment provider.
11. Your Students, Clients and Customers
Your students, members, clients, prospects, leads, and customers remain your business relationships.
SutraSuite provides technology that can help you manage those relationships. SutraSuite does not become the provider of your yoga instruction, wellness services, retreats, workshops, memberships, educational programs, professional services, or other offerings.
You are responsible for:
- the products and services you provide;
- your prices;
- your contracts and policies;
- customer refunds;
- waivers and releases where appropriate;
- communications with customers;
- the accuracy of information you provide;
- obtaining legally required permissions and consents; and
- complying with laws and regulations applicable to your business.
12. Ownership of Customer Data and Business Assets
You retain ownership of your business name, trademarks, branding, original content, customer and student information, contact lists, and other business data that you provide to or maintain through the Services.
SutraSuite does not acquire ownership of your customer relationships, business data, branding, or original content merely because you use the Services.
Subject to applicable technical, legal, contractual, and third-party limitations, you may request or export available Customer Data in supported formats.
You grant SutraSuite the limited rights necessary to host, store, process, transmit, display, back up, secure, and otherwise use Customer Data for the purpose of providing, supporting, maintaining, securing, and improving the Services, consistent with our Privacy Policy and applicable law.
You represent that you have the lawful right and any necessary authorization or consent to provide Customer Data to SutraSuite and permit its processing in connection with the Services.
You must not upload information that you are legally prohibited from collecting, storing, sharing, or processing.
13. Data Migration and Onboarding
SutraSuite may provide onboarding, migration guidance, or migration assistance depending upon the Services purchased.
Migration assistance does not guarantee that every piece of information from another platform can be transferred.
Migration capabilities may depend upon:
- the source platform;
- export capabilities;
- available file formats;
- data quality and completeness;
- third-party restrictions;
- technical compatibility;
- APIs and integrations;
- customer permissions; and
- the type of information involved.
Certain information, including stored payment credentials, historical records, proprietary data structures, or information restricted by another provider, may not be transferable.
Customers are responsible for retaining appropriate copies or backups of important information before migration.
Unless expressly agreed in writing, SutraSuite does not guarantee complete, error-free, or lossless migration from another service.
14. User Content
You retain ownership of original content that you upload or provide through SutraSuite, subject to the rights of any applicable third party.
You grant SutraSuite a limited license to host, reproduce, process, transmit, display, and otherwise use your content as reasonably necessary to provide the Services.
You are responsible for ensuring that you have the necessary rights to use any photographs, graphics, music, videos, trademarks, written material, customer information, or other content you submit.
You may not use SutraSuite to infringe another person’s intellectual-property, privacy, publicity, or other legal rights.
15. Artificial Intelligence and Automated Features
Some SutraSuite Services may incorporate artificial intelligence, machine learning, automated systems, or third-party AI technology.
Artificial intelligence can produce inaccurate, incomplete, outdated, unexpected, or inappropriate results.
You are responsible for reviewing AI-generated or AI-assisted content before publishing, sending, implementing, or relying upon it.
SutraSuite does not warrant that AI-generated content:
- is factually accurate;
- is complete;
- is unique;
- will not resemble content generated for another person;
- is free from potential third-party claims;
- complies with laws applicable to your particular use; or
- is appropriate for professional, legal, financial, medical, or other regulated decisions.
AI functionality is intended to assist users and does not replace human judgment or qualified professional advice.
16. Infinite Flows and Usage-Based Features
Infinite Flows and other AI-powered, computational, communications, storage, or resource-intensive features may be subject to usage, generation, seat, storage, processing, or fair-use limits.
A feature described as “included” remains subject to the limits associated with the applicable subscription or account.
SutraSuite may establish reasonable limits designed to prevent abuse, excessive resource consumption, system degradation, or disproportionate operating costs.
Additional users, usage, capacity, or resources may require additional fees where applicable.
17. Email, SMS and Marketing Communications
SutraSuite may provide tools that enable you to communicate with customers, members, leads, and prospects.
You are responsible for ensuring that your communications comply with applicable laws and that you have obtained any legally required consent or permission to contact recipients.
You are responsible for maintaining lawful contact lists, honoring unsubscribe and opt-out requests, and complying with applicable requirements concerning email, text messages, telephone communications, advertising, and marketing.
You may not use SutraSuite to send unlawful spam, deceptive communications, abusive messages, or communications to recipients whom you are not legally permitted to contact.
SutraSuite may suspend communications functionality where reasonably necessary to prevent abuse, protect platform reputation or deliverability, comply with law, or satisfy requirements imposed by communications providers.
18. Third-Party Services and Integrations
SutraSuite may integrate with or depend upon third-party software, APIs, hosting providers, telecommunications services, payment processors, artificial intelligence providers, social platforms, domain providers, or other external services.
These third-party services are not controlled by SutraSuite and may have their own terms, privacy practices, pricing, usage limits, policies, and availability.
To the maximum extent permitted by law, SutraSuite is not responsible for:
- third-party outages;
- API or integration changes;
- third-party feature changes;
- changes in third-party pricing;
- third-party account restrictions or suspensions;
- third-party data practices;
- third-party security incidents;
- third-party service performance; or
- discontinuation of a third-party product, service, or integration.
SutraSuite may modify, replace, or discontinue an integration when reasonably necessary because of changes affecting a third-party service.
19. Websites, Domains and Customer-Facing Services
Where SutraSuite provides website-building, hosting, domain-connection, portal, community, or other customer-facing functionality, you remain responsible for your business and the content you publish.
You are responsible for determining which privacy notices, disclaimers, waivers, accessibility measures, terms, cookie disclosures, licenses, or other legal requirements apply to your business.
Domain names and related services may be provided through independent providers and remain subject to those providers’ terms.
The availability, ownership, licensing, or transferability of third-party technology is determined by the applicable third-party provider and not by SutraSuite.
20. Prohibited Uses
You may not use the Services to:
- violate applicable law;
- engage in fraudulent or deceptive activity;
- infringe intellectual-property or privacy rights;
- distribute malicious software or code;
- send unlawful spam;
- harass, threaten, exploit, or abuse others;
- interfere with platform security;
- attempt unauthorized access;
- circumvent security or usage restrictions;
- reverse engineer protected portions of the Services except where applicable law expressly permits;
- systematically scrape or extract proprietary platform information without authorization;
- resell or sublicense Services without authorization;
- impersonate SutraSuite;
- falsely claim endorsement or affiliation with SutraSuite; or
- use the Services in a manner that materially harms SutraSuite, its infrastructure, its providers, or other users.
SutraSuite may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect the Services, our customers, third parties, or our providers.
21. SutraSuite Intellectual Property
SutraSuite and its licensors retain all right, title, and interest in and to the Services and SutraSuite intellectual property.
This includes, as applicable:
- software;
- source code;
- platform architecture;
- systems;
- workflows;
- automations;
- templates;
- designs;
- configurations;
- methodologies;
- documentation;
- trademarks;
- branding;
- proprietary processes;
- know-how; and
- other technology developed or owned by SutraSuite.
Your subscription provides a limited, non-exclusive, non-transferable right to use the applicable Services during your active subscription.
A subscription does not constitute the purchase of SutraSuite, its underlying software, source code, systems, custom configurations, or proprietary technology.
Your ownership of your business, brand, content, customer relationships, and Customer Data does not give you ownership of the SutraSuite platform or technology used to provide the Services.
Third-party software and technology remain subject to their respective owners’ rights and licenses.
22. Feedback
If you voluntarily provide suggestions, ideas, recommendations, feature requests, or other feedback concerning SutraSuite, you grant SutraSuite the right to use that feedback to develop, improve, market, or operate the Services without compensation or obligation to you.
This does not transfer ownership of your confidential business information, Customer Data, branding, or original content to SutraSuite.
23. Confidentiality
In connection with Studio implementations or other Services, either party may receive non-public business, technical, operational, or commercial information from the other.
Each party agrees to use reasonable measures to protect confidential information and to use it only for purposes related to the Services.
Confidentiality obligations do not apply to information that becomes publicly available without breach, was independently developed without use of the other party’s confidential information, was lawfully received from another source without confidentiality obligations, or must be disclosed by law.
24. Platform Availability, Maintenance and Security
SutraSuite works to provide reliable Services but does not guarantee uninterrupted, completely secure, or error-free operation.
The Services may occasionally be unavailable because of maintenance, upgrades, technical problems, internet failures, hosting issues, third-party outages, security incidents, force majeure events, or circumstances outside our reasonable control.
SutraSuite may perform maintenance, updates, security changes, or infrastructure modifications when reasonably necessary.
Customers are responsible for maintaining appropriate copies of information that is critical to their businesses.
25. Data Retention and Account Closure
You are responsible for exporting or preserving information you wish to retain before your account closes where export functionality is available.
Following cancellation, termination, or expiration, your access to the Services and Customer Data may cease.
SutraSuite may retain, delete, or anonymize information following account closure in accordance with its Privacy Policy, data-retention practices, legal obligations, contractual obligations, and applicable law.
SutraSuite does not guarantee indefinite storage of Customer Data following termination.
26. No Professional Advice
SutraSuite provides technology, business tools, educational resources, and related services.
Unless expressly agreed through a separate professional engagement, SutraSuite does not provide legal, tax, accounting, financial, medical, mental-health, or other regulated professional advice.
Business, branding, marketing, educational, and AI-assisted resources are general in nature.
You remain responsible for decisions concerning your business and should obtain qualified professional advice where appropriate.
27. No Guarantee of Results
SutraSuite provides tools, technology, resources, and support intended to assist users in operating and growing their businesses.
SutraSuite does not guarantee:
- revenue;
- profitability;
- customer acquisition;
- bookings;
- audience growth;
- search-engine rankings;
- social-media performance;
- marketing performance; or
- any particular financial or commercial result.
Individual results depend upon many factors outside SutraSuite’s control, including the customer’s business practices, implementation, market, audience, pricing, services, and effort.
28. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SUTRASUITE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.
SUTRASUITE DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT EVERY DEFECT OR ERROR WILL BE CORRECTED.
Nothing in these Terms excludes warranties or statutory rights that cannot legally be excluded.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUTRASUITE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OR CORRUPTION OF DATA ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUTRASUITE’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO SUTRASUITE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted, to the extent permitted by applicable law.
Some jurisdictions do not permit certain exclusions or limitations of liability. Where such restrictions apply, these provisions will apply only to the maximum extent permitted by law.
30. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SutraSuite and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your products, services, or business activities;
- your User Content or Customer Data;
- your violation of these Terms;
- your violation of applicable law;
- your communications with customers or prospects;
- your infringement of another person’s rights; or
- your misuse of the Services.
SutraSuite will provide reasonable notice of an indemnified claim and reasonable cooperation concerning its defense.
31. Suspension and Termination
SutraSuite may suspend or terminate access to the Services when reasonably necessary because of:
- material violation of these Terms;
- nonpayment;
- fraud or suspected fraudulent activity;
- unlawful conduct;
- security threats;
- abuse of the Services;
- conduct creating material risk to SutraSuite, our providers, other customers, or third parties; or
- legal or critical third-party-provider requirements.
Where appropriate and reasonably practicable, SutraSuite may provide an opportunity to correct a violation before termination.
Termination does not eliminate payment obligations already incurred.
Sections that by their nature should survive termination—including provisions concerning intellectual property, ownership, warranties, liability, indemnification, and disputes—will survive.
32. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Before filing a legal action, you and SutraSuite agree to make a good-faith effort to resolve the dispute informally. A party seeking to raise a dispute must provide written notice describing the nature of the dispute and the requested resolution. The parties will have thirty (30) days from receipt of the notice to attempt to resolve the matter.
If the dispute cannot be resolved informally, any legal action arising out of or relating to these Terms or the Services will be brought in a court of competent jurisdiction located in Harris County, Texas, and each party consents to the jurisdiction and venue of those courts, except where applicable law does not permit such a requirement.
Nothing in this section prevents either party from seeking temporary or emergency injunctive relief where necessary to protect intellectual property, confidential information, data, security, or other rights for which immediate relief may be appropriate.
Nothing in these Terms limits any rights or remedies that cannot lawfully be waived or limited under applicable law.
33. Electronic Transactions and Communications
You agree that SutraSuite may conduct transactions and provide agreements, disclosures, notices, records, and other communications electronically to the extent permitted by applicable law.
Your electronic acceptance of an agreement, subscription, order, or other transaction may have the same legal effect as a physical signature where permitted by law.
You are responsible for maintaining a current email address and other contact information associated with your account.
34. Changes to These Terms
SutraSuite may revise these Terms from time to time as the Services, business, or applicable requirements change.
The revised Terms will display an updated effective date.
Where required by applicable law or where changes are material, SutraSuite will provide appropriate notice.
Continued use of the Services after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.
Changes will not retroactively alter rights or obligations where applicable law prohibits doing so.
35. General Provisions
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
SutraSuite’s failure to enforce a provision does not waive its right to enforce that provision later.
You may not assign your rights or obligations under these Terms without SutraSuite’s prior written consent except where applicable law provides otherwise.
SutraSuite may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of substantially all relevant assets, or similar business transaction.
These Terms, together with the Privacy Policy and any applicable order form, proposal, statement of work, or other agreement expressly incorporated by reference, constitute the applicable agreement between you and SutraSuite concerning the Services.
If a signed Studio proposal, order form, or statement of work conflicts with these Terms regarding the specific services purchased, the more specific written agreement will control for that subject.
