SutraSuite Referral Program Terms and Conditions

Terms and Conditions Effective Date: April 2026 | Governed by the Laws of the State of Texas

Please read these Terms and Conditions carefully before registering for or participating in the SutraSuite Referral Program (the “Program”). By enrolling in the Program, you (“Affiliate”) agree to be legally bound by these Terms. If you do not agree, do not enroll.

These Terms constitute a legally binding agreement between you and SutraSuite (“Company,” “we,” “us,” or “our”). SutraSuite reserves the right to modify these Terms at any time. Continued participation in the Program following notice of any modification constitutes your acceptance of the revised Terms.

 

1. Eligibility and Enrollment

Please read these Terms and Conditions carefully before registering for or participating in the SutraSuite Referral Program (the “Program”). By enrolling in the Program, you (“Affiliate”) agree to be legally bound by these Terms. If you do not agree, do not enroll.

These Terms constitute a legally binding agreement between you and SutraSuite (“Company,” “we,” “us,” or “our”). SutraSuite reserves the right to modify these Terms at any time. Continued participation in the Program following notice of any modification constitutes your acceptance of the revised Terms.

To be eligible for the Program, an Affiliate must maintain an active, paid SutraSuite subscription in good standing at all times. If an Affiliate’s subscription lapses, is cancelled, or falls into non-payment, their participation in the Program is automatically suspended until the subscription is reinstated in good standing.

2. Program Structure and Benefits

Eligibility:

To be eligible for the Program, an Affiliate must maintain an active, paid SutraSuite subscription in good standing at all times. If an Affiliate’s subscription lapses, is cancelled, or falls into non-payment, their participation in the Program is automatically suspended until the subscription is reinstated in good standing. An Affiliate whose subscription is not reinstated within fifteen (15) days of lapsing will be subject to termination from the Program, subject to the payout rules outlined in the Termination section.


Referral Link

Upon enrollment and approval, each Affiliate will receive a unique personal referral link. This link is used to track all referrals and must be used by the referred teacher at the time of signup. SutraSuite is not responsible for referrals that cannot be tracked due to the Affiliate’s failure to use their unique referral link, technical errors on the part of the referred teacher, or any other circumstance outside of SutraSuite’s control.


Commission — Earn From Your First Referral

Affiliates earn 30% recurring monthly commission on all qualifying referrals beginning from the first referral onward, for as long as each referred subscription remains active and in good standing. The following conditions apply:

  • Cash commission is earned on all qualifying referrals regardless of the referred plan tier, beginning immediately from the first qualifying referral.
  • There is no cap on the number of referrals an Affiliate may make or the total amount of commission an Affiliate may earn.
  • No quotas or minimum referral requirements apply beyond the conditions outlined in this section.

 


Subscription Fee Waiver — Plan Matching Requirement

In addition to earning commission, Affiliates are eligible for a subscription fee waiver when a qualifying referral meets the plan matching requirement. The following conditions apply:

  • The referred subscription must be for a plan tier equal to or higher than the Affiliate’s own current plan tier at the time of the referral.
  • The referred subscription must remain active and in good standing for a minimum of thirty-one (31) days before the waiver is triggered.
  • Once triggered, the subscription fee waiver takes effect on the 15th of the calendar month following the qualifying referral’s 31-day qualification period.
  • The subscription fee waiver remains in effect for as long as at least one qualifying referral remains active and in good standing on a plan tier equal to or higher than the Affiliate’s own plan.
  • If the qualifying referral cancels or downgrades below the Affiliate’s plan tier, the waiver ends and the Affiliate’s standard plan rate resumes at the next billing cycle.
  • If an Affiliate upgrades their own plan after the waiver has been triggered, the waiver will only remain in effect if their active qualifying referral meets or exceeds the new plan tier. If it does not, the waiver ends at the next billing cycle until a matching or higher-tier referral is secured.
  • Referrals on a lower plan tier than the Affiliate’s own plan earn 30% commission but do not trigger the subscription fee waiver.

 

For clarity:

  • A SutraStart Affiliate ($49/month) who refers any SutraSuite plan — SutraStart, FlowBuilder, or ZenMaster — earns 30% commission and receives a free subscription upon that referral’s 31-day qualification.
  • A FlowBuilder Affiliate ($99/month) who refers a SutraStart subscriber earns 30% commission immediately but does not receive a free subscription. The waiver is triggered only when they refer a FlowBuilder or ZenMaster subscriber.
  • A ZenMaster Affiliate ($199/month) earns 30% commission on all referrals regardless of tier. The subscription fee waiver is triggered only when referring another ZenMaster subscriber.

 

Illustrative Examples Only

Example 1 — Matching Plan (Commission + Subscription Waiver): An Affiliate on the FlowBuilder plan refers a teacher who subscribes to the FlowBuilder plan at $99/month. Once that referral has remained active for 31 days, the Affiliate earns $29.70/month in recurring commission AND their own FlowBuilder subscription is waived in full, for as long as that referred teacher remains an active subscriber on the same or higher plan tier.

Example 2 — Lower Tier Referral (Commission Only): An Affiliate on the FlowBuilder plan refers a teacher who subscribes to the SutraStart plan at $49/month. Once that referral has remained active for 31 days, the Affiliate earns $14.70/month in recurring commission. No subscription fee waiver is triggered because the referral does not match the Affiliate’s plan tier. The waiver triggers only when a matching or higher-tier referral is secured.

These examples are for illustration purposes only and do not constitute a guarantee of earnings. Actual commission amounts will vary based on the referred subscriber’s plan selection.

3. Commissions and Payments

Commissions are calculated and disbursed on a monthly basis, subject to the following conditions:

  • Affiliates earn 30% recurring monthly commission on all qualifying referrals beginning from the first referral onward, regardless of the referred plan tier. Commissions are earned on a recurring monthly basis for as long as each referred subscription remains active and in good standing.
  • The subscription fee waiver is a separate benefit from commission and is governed by the plan matching requirement outlined in the Program Structure and Benefits section. Commission and the subscription fee waiver are not mutually exclusive — an Affiliate may earn both on the same referral where the plan matching requirement is met.
  • A referred subscription must remain active and in good standing for a minimum of thirty-one (31) days before the associated commission is eligible for payout. Referrals that cancel or become inactive within 31 days of their signup date do not qualify for commission, and no payment will be issued for that referral.
  • Once a referral has remained active for 31 days, the commission earned for that month is considered fully vested and will be paid to the Affiliate at the next monthly payout date, regardless of whether the referred subscriber cancels after that 31-day period.
  • Monthly payouts are disbursed on the 15th of each calendar month for all referrals that completed their 31-day qualification period in the prior calendar month. If the 15th falls on a weekend or federal holiday, payment will be issued on the next available business day.
  • Commissions are not earned on any subscription that results in a refund, chargeback, or payment dispute. If SutraSuite issues a refund to a subscriber — whether due to a subscriber request, a technical issue, or SutraSuite’s own discretionary decision — the associated commission will not be paid. Any commission previously paid for a subsequently refunded subscription will be deducted from the Affiliate’s next available payout or, at SutraSuite’s discretion, invoiced back to the Affiliate.
  • Commissions will not be paid for self-referrals. You may not refer yourself, household members, or entities you own or control, directly or indirectly.
  • SutraSuite does not impose a minimum payout threshold. Full amounts owed will be disbursed on the standard monthly payout date.
  • Affiliates must maintain accurate and valid payment information. SutraSuite is not responsible for failed payments resulting from inaccurate or outdated payment details provided by the Affiliate.
  • Commissions are personal to the Affiliate and may not be transferred, assigned, or sold to any third party.

SutraSuite reserves the right to modify commission rates, payout schedules, or benefit structures at any time with thirty (30) days written notice to active Affiliates. Continued participation following such notice constitutes acceptance of the revised terms.

4. Affiliate Conduct and Obligations

Affiliates agree to promote SutraSuite honestly, transparently, and in accordance with all applicable laws and regulations, including FTC endorsement guidelines. Affiliates must:

  • Clearly and conspicuously disclose their affiliate relationship in any promotion, post, email, or content that includes a referral link or constitutes an endorsement of SutraSuite.
  • Share SutraSuite only in an honest and accurate manner. Affiliates may not make false claims, misleading statements, or exaggerated representations about SutraSuite’s features, pricing, or outcomes.
  • Treat all prospective and current SutraSuite users with respect.
  • Promptly notify SutraSuite of any disputes, complaints, or unusual referral activity.

 

Affiliates may use SutraSuite-provided graphics and text, or create their own promotional materials, provided such materials comply with these Terms, SutraSuite’s brand guidelines, and do not violate any applicable law.

 

5. Brand Representation and Trademark Use

Affiliates may not represent themselves as SutraSuite, its employees, partners, agents, or official representatives. Affiliates may only identify themselves as independent participants in the SutraSuite Referral Program.

 

Affiliates may not:

  • Register, purchase, or use any domain name, business name, social media handle, or email address that includes “SutraSuite” or any confusingly similar variation.
  • Use SutraSuite’s trademarks, logos, or branding in any way that implies official affiliation, ownership, or endorsement beyond participation in the Program.
  • Create websites, social media pages, advertisements, or materials that could reasonably cause consumer confusion about the source or affiliation of the content.
  • Use SutraSuite’s name or marks in paid advertising, including but not limited to search engine ads, without prior written approval from SutraSuite.

 

Any permitted use of SutraSuite trademarks is subject to SutraSuite’s brand guidelines and may be revoked at SutraSuite’s sole discretion at any time, without notice and without liability.

6. Prohibited Practices

The following activities are strictly prohibited and will result in immediate termination of Affiliate status, forfeiture of unpaid commissions, and may result in legal action:

  • Spam: mass email, unsolicited messaging, mass newsgroup or forum posting, or any form of unsolicited marketing.
  • Paid search (PPC) bidding on SutraSuite-branded keywords without prior written approval.
  • Cookie stuffing, forced clicks, iFrames, pop-ups, pop-unders, or any technique that sets affiliate tracking cookies without a clear and explicit user action.
  • Offering rebates, kickbacks, or cash-back incentives from commission earnings to incentivize referrals.
  • Advertising on platforms or websites that promote or contain illegal content, hate speech, adult content, or content otherwise objectionable in SutraSuite’s sole judgment.
  • Fraudulent transactions, fake accounts, or any form of affiliate fraud, including incentivized sign-ups that do not represent genuine interest in SutraSuite.
  • Any promotion of coupon codes or deals not expressly authorized in writing by SutraSuite. Unauthorized use of coupon codes will result in immediate account termination and commission forfeiture.
  • Misrepresentation of SutraSuite’s products, services, pricing, or capabilities.

7. Termination

SutraSuite reserves the right to suspend or terminate any Affiliate’s account at any time, for any reason or no reason, at its sole and absolute discretion, including but not limited to violations of these Terms. Termination is effective immediately upon notice.

Upon termination, whether initiated by SutraSuite or voluntarily by the Affiliate:

  • The Affiliate’s referral link will be deactivated immediately.
  • The Affiliate’s subscription fee waiver will terminate at the end of the current billing cycle.
  • Recurring commission obligations cease as of the date of termination. No further commissions will be earned or paid on any referral after the termination date, regardless of whether those referred subscriptions remain active.
  • Commissions already fully vested prior to the termination date — meaning the referred subscription had completed its 31-day qualification period before termination — will be paid at the next scheduled payout date on the 15th of the following month.
  • Commissions not yet vested at the time of termination — meaning the referred subscription had not yet completed its 31-day qualification period — are forfeited in full and will not be paid.
  • Any refunds, chargebacks, or payment disputes initiated after termination that reverse previously paid commissions will be deducted from any final payout or invoiced to the Affiliate.
  • If termination is due to fraud or material breach of these Terms, all unpaid commissions, including those already vested, are forfeited in full.

An Affiliate may voluntarily terminate participation at any time by providing written notice to SutraSuite at [email protected]. Voluntary termination does not affect commissions already fully vested prior to the termination date, which will be paid at the next scheduled payout date.

8. Prior Agreement — Grandfather Provision

Any individual who entered into a formal written agreement with SutraSuite prior to the effective date of these Terms and Conditions is honored under the terms of their original signed agreement. These Terms do not supersede, replace, or modify any such prior agreement.

 

This provision applies solely to individuals holding a fully executed Ambassador Agreement with SutraSuite predating the effective date of this document. All other participants who enroll in the SutraSuite Referral Program on or after the effective date are exclusively subject to these Terms.

8. Prior Agreement — Grandfather Provision

Any individual who entered into a formal written agreement with SutraSuite prior to the effective date of these Terms and Conditions is honored under the terms of their original signed agreement. These Terms do not supersede, replace, or modify any such prior agreement.

 

This provision applies solely to individuals holding a fully executed Ambassador Agreement with SutraSuite predating the effective date of this document. All other participants who enroll in the SutraSuite Referral Program on or after the effective date are exclusively subject to these Terms.

9. Earnings Disclaimer

SutraSuite makes no representations, warranties, or guarantees — express or implied — regarding the amount of income or commissions an Affiliate may earn through participation in the Program. Any illustrative earnings examples provided by SutraSuite are for informational purposes only and do not guarantee, project, or imply that any Affiliate will achieve similar or any results.

 

Affiliate earnings depend entirely on individual effort, audience reach, referral quality, and other factors beyond SutraSuite’s control. SutraSuite expressly disclaims any responsibility for an Affiliate’s failure to earn commissions or meet income expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUTRASUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE TO ANY AFFILIATE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF COMMISSIONS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF SUTRASUITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IN NO EVENT SHALL SUTRASUITE’S TOTAL CUMULATIVE LIABILITY TO ANY AFFILIATE UNDER THESE TERMS EXCEED THE TOTAL COMMISSIONS PAID TO THAT AFFILIATE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

SutraSuite does not guarantee uninterrupted or error-free operation of the Program, the referral tracking system, or the SutraSuite platform. SutraSuite will not be liable for tracking failures, technical errors, data loss, or interruptions that may affect commission calculations or payouts.

Commissions are calculated and disbursed on a monthly basis, subject to the following conditions:

  • Where the Affiliate’s first qualifying referral is on a plan tier equal to or higher than the Affiliate’s own plan, no cash commission is earned on that referral. That referral activates the Affiliate’s subscription fee waiver only, which takes effect on the 15th of the calendar month following that referral’s 31-day qualification period.
  • Where the Affiliate’s first qualifying referral is on a plan tier lower than the Affiliate’s own plan, 30% cash commission is earned on that referral and is subject to the same 31-day qualification period and standard payout schedule. In this case, no subscription fee waiver is triggered by that referral.
  • Cash commission at the rate of 30% applies to all subsequent qualifying referrals from the second referral onward, regardless of plan tier. Commissions are earned on a recurring monthly basis for as long as each referred subscription remains active and in good standing.
  • A referred subscription must remain active and in good standing for a minimum of thirty-one (31) days before the associated commission is eligible for payout. Referrals that cancel or become inactive within 31 days of their signup date do not qualify for commission, and no payment will be issued for that referral.
  • Once a referral has remained active for 31 days, the commission earned for that month is considered fully vested and will be paid to the Affiliate at the next monthly payout date, regardless of whether the referred subscriber cancels after that 31-day period.

11. Indemnification

Affiliate agrees to defend, indemnify, and hold harmless SutraSuite and its officers, directors, employees, agents, licensees, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

  • Any breach of these Terms by Affiliate.
  • Affiliate’s promotional activities, marketing materials, or communications relating to SutraSuite.
  • Any misrepresentation, failure to disclose, negligence, or intentional misconduct by Affiliate.
  • Any violation of applicable law, including FTC endorsement guidelines, by Affiliate.
  • Any third-party claims arising from Affiliate’s participation in the Program.

 

This indemnification obligation survives the termination of Affiliate’s participation in the Program and the expiration of these Terms.

12. Dispute Resolution and Binding Arbitration

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Program (a “Dispute”), the parties agree to first attempt to resolve the Dispute informally by contacting SutraSuite at [email protected]. SutraSuite will attempt to respond within fifteen (15) business days.

 

If a Dispute cannot be resolved informally within thirty (30) days, both parties agree that the Dispute shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), conducted in the State of Texas. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

 

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, AFFILIATE WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST SUTRASUITE. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

 

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. To the extent that any matter is not subject to arbitration under Section 12, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas, and each party waives any objection to such jurisdiction and venue.

14. Non-Disparagement

During and after participation in the Program, Affiliate agrees not to make, publish, or communicate any false, misleading, or disparaging statements about SutraSuite, its products, its team, its officers, directors, or founders, whether in public, in writing, online, or on social media. This obligation survives termination of Affiliate’s participation in the Program and the expiration of these Terms.

A violation of this provision may result in immediate account termination, forfeiture of unpaid commissions, and SutraSuite may seek equitable relief or damages as permitted by law.

15. General Provisions

  • Entire Agreement: These Terms, together with any written agreement signed between the parties, constitute the entire agreement between the parties with respect to the Program and supersede all prior agreements, representations, or understandings, whether oral or written, except as set forth in Section 8.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No Waiver: SutraSuite’s failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
  • No Agency or Partnership: The relationship between SutraSuite and Affiliate is that of independent contractors. These Terms do not create any employment, agency, partnership, joint venture, or franchise relationship.
  • Assignment: Affiliate may not assign or transfer any rights or obligations under these Terms without SutraSuite’s prior written consent. SutraSuite may assign these Terms freely.
  • Electronic Agreement: Enrollment in the Program constitutes an electronic signature to these Terms with the same legal force and effect as a handwritten signature.
  • Notices: All notices to SutraSuite must be sent to [email protected]. SutraSuite may provide notices to Affiliates via the email address on file.
